Agreement to These Terms

These Terms of Service govern your access to and use of Hoodflow, a hosted software service operated by Subculture Laboratories LLC. By creating an account, starting a trial, purchasing a subscription, continuing with Google, or otherwise using Hoodflow, you agree to these Terms.

If you use Hoodflow on behalf of a company, lab, school, or other organization, you represent that you have authority to bind that organization to these Terms, and references to "you" include both you and that organization.

Eligibility and Account Use

You must be legally able to enter into a binding agreement to use Hoodflow. You may use the service only in compliance with applicable law and only for legitimate business, organizational, operational, or internal workflow purposes.

You are responsible for all activity that occurs under your account or within your tenant workspace unless caused by our breach of these Terms.

Account Security and Tenant Administration

You must provide accurate information when creating or maintaining an account and keep that information current. You are responsible for maintaining the confidentiality of your credentials and for using reasonable security practices.

Tenant owners and administrators are responsible for managing workspace members, access levels, configuration choices, and connected third-party services for their organization. We may rely on administrator instructions for workspace management and billing administration.

Acceptable Use

You may not misuse Hoodflow, interfere with its operation, or use it in a way that creates legal, security, or operational risk for us or others.

  • Access, use, or attempt to access the service through unauthorized means or circumvent technical restrictions, authentication controls, or rate limits.
  • Upload, transmit, or store malicious code, unlawful material, or content that infringes intellectual property, privacy, publicity, or other rights.
  • Use Hoodflow to harass, defraud, impersonate, spam, or engage in deceptive, abusive, or unlawful conduct.
  • Probe, scan, reverse engineer, scrape, or otherwise attempt to derive source code, security mechanisms, or non-public product data except to the extent such restriction is prohibited by law.
  • Use the service in a manner that could damage, disable, overburden, or impair Hoodflow or other users' access to it.

Subscriptions, Trials, and Billing

Hoodflow may offer paid subscriptions, self-serve plans, trials, promotional access, and future enterprise arrangements. Pricing, plan limits, included features, and billing intervals are described in the service or at checkout and may change prospectively.

Trials convert or end according to the terms presented at signup or checkout. Paid subscriptions renew automatically unless canceled before the next renewal date. You authorize us and our payment processor to charge the payment method you provide for recurring subscription fees, applicable taxes, and other charges authorized through the service.

If payment cannot be completed, we may suspend or restrict access until billing is resolved. You are responsible for taxes, duties, and government charges associated with your subscription other than taxes based on our net income.

Cancellations and Refunds

You may cancel a subscription through the service, your billing portal, or by contacting us, and cancellation will typically take effect at the end of the current billing period unless otherwise stated in the service.

Except where required by law, fees are generally non-refundable and partial billing periods are generally not prorated or refunded. However, Subculture Laboratories LLC may issue credits, partial refunds, or full refunds on a case-by-case basis in its discretion.

Beta Features and Service Availability

Hoodflow is in public beta and may include preview, beta, experimental, or evolving functionality. Features may change, be delayed, perform differently than expected, or be discontinued without notice.

We will use commercially reasonable efforts to keep the service available, but we do not guarantee uninterrupted operation, error-free performance, or that every feature will always be available in every environment or jurisdiction.

Customer Content and Data

As between you and us, you retain ownership of the content and data you submit to Hoodflow, including workspace records, uploaded files, images, operational data, labels, configurations, and integration-connected data you are authorized to use.

You grant us a non-exclusive, worldwide, limited license to host, copy, process, transmit, display, and otherwise use that content only as necessary to provide, secure, support, improve, and maintain Hoodflow, to prevent abuse, and to comply with legal obligations.

You are responsible for ensuring that you have the rights, permissions, and lawful basis necessary to submit data to the service and to direct us to process it.

Third-Party Services and Integrations

Hoodflow may interoperate with or depend on third-party services, including Stripe, Google, Etsy, Squarespace, email providers, hosting providers, and related infrastructure. Your use of those services may also be governed by the third party's own terms and privacy practices.

We are not responsible for third-party services, their availability, their security, or the accuracy of data they provide. If a third-party service changes, suspends access, or ceases operating, some Hoodflow features may stop working or behave differently.

Intellectual Property

Hoodflow, including its software, interfaces, design, branding, documentation, and related intellectual property, is owned by Subculture Laboratories LLC or its licensors and is protected by applicable law.

These Terms grant you a limited, non-exclusive, non-transferable, non-sublicensable right to use Hoodflow during the applicable subscription or authorized access period for your internal business purposes, subject to these Terms.

Suspension and Termination

We may suspend, restrict, or terminate access to Hoodflow immediately if we reasonably believe you violated these Terms, created security or legal risk, failed to pay amounts due, misused the service, or if continued access could harm Hoodflow, other users, or third parties.

You may stop using the service at any time. Sections that by their nature should survive termination, including those relating to payment obligations, ownership, disclaimers, liability limits, dispute terms, and general legal provisions, will survive.

Disclaimers

Hoodflow is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Hoodflow is an operations and workflow tool. It does not provide medical, scientific, regulatory, legal, accounting, tax, or compliance advice, and it is not a substitute for professional judgment, required recordkeeping, or independent verification of any operational decision.

Limitation of Liability

To the maximum extent permitted by law, Subculture Laboratories LLC and its officers, members, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, use, or data, even if advised of the possibility of those damages.

To the maximum extent permitted by law, our aggregate liability arising out of or relating to Hoodflow or these Terms will not exceed the greater of the amounts you paid to us for Hoodflow during the twelve months before the event giving rise to the claim or one hundred U.S. dollars (US$100).

Governing Law and Venue

These Terms and any dispute arising out of or relating to Hoodflow or these Terms are governed by the laws of Illinois, without regard to conflict of laws principles. You and Subculture Laboratories LLC agree to the exclusive jurisdiction of the state or federal courts located in Illinois for any dispute that is not otherwise required to be resolved elsewhere by applicable law.

Changes to These Terms and Contact Information

We may update these Terms from time to time. If we make material changes, we may provide notice through the service, by email, or by updating the effective date. Continued use of Hoodflow after updated Terms become effective means the updated Terms apply.
